4. User-Generated Content

If you submit comments, reviews, or other content to our Services:

  • You retain ownership of your content but grant Ngital a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, and display such content
  • You represent that you have the right to submit the content and that it does not infringe on any third-party rights
  • We reserve the right to remove any user-generated content at our sole discretion

6. Service Agreements and Professional Services

Any professional services, consulting, development, or other engagements between you and Ngital are governed by separate Service Agreements. These Terms apply to your use of the website and general Services, while specific project terms are set out in individually negotiated contracts. In the event of any conflict, the terms of the Service Agreement shall prevail with respect to the specific engagement.

7. Disclaimer of Warranties

The Services and Content are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, or non-infringement

8. Limitation of Liability

To the maximum extent permitted by applicable law, Ngital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you have paid to Ngital in the twelve (12) months preceding the claim, or one hundred British Pounds (£100), whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless Ngital and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

10. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, all licences granted to you under these Terms will immediately cease, and you must stop all use of the Services.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Severability
